Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services operated by Theta One Software Developers Pvt Ltd (“Theta One,” “we,” “us,” or “our”), including thetaonelab.com, eyezon.in, frontloop.dev, and cheqd.in (collectively, the “Services”).

By creating a Theta One account or using any of our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and “you” refers to that organisation.

1. Your Theta One Account

Many of our Services require a Theta One account. When you register you agree to:

• Provide accurate, current, and complete information.
• Keep your credentials confidential and not share them with others.
• Notify us immediately at security@thetaonelab.com if you suspect unauthorised access.
• Accept responsibility for all activity that occurs under your account.

Your Theta One account is the single identity credential used across thetaonelab.com, eyezon.in, frontloop.dev, and cheqd.in. Suspension or termination of your account may affect access to all of these Services.

2. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable local, national, or international law or regulation.
• Transmit unsolicited commercial communications (spam) through any Service.
• Attempt to gain unauthorised access to any part of the Services, other accounts, or systems connected to the Services.
• Introduce viruses, trojans, malware, or other harmful code.
• Scrape, crawl, or harvest data from the Services without our written consent.
• Reverse-engineer, decompile, or disassemble any software provided as part of the Services.
• Use the Services to build a competing product or service.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

3. Services and Products

These Terms apply to all products and services within the Theta One family. Product-specific terms below supplement (and, where they conflict, supersede) the general terms in this document.

3.1 thetaonelab.com — Consulting & Platform Services

Consulting engagements, agentic AI development, and platform access offered through thetaonelab.com are governed by the separate Statement of Work or Master Services Agreement signed with each client. In the absence of such an agreement, these Terms govern.

3.2 eyezon.in — Live Commerce

Eyezon enables live video shopping experiences. By using Eyezon you agree that content you broadcast or upload does not infringe any third-party intellectual property rights and complies with applicable consumer protection laws. We may remove content that violates these standards without prior notice.

3.3 frontloop.dev — Developer Tools

Frontloop provides browser-based live UI generation tools. Code or UI output generated using Frontloop is your property; however you retain responsibility for ensuring that generated code is reviewed, tested, and secure before deployment. We provide the tool on an “as-is” basis and do not warrant that generated output is fit for any particular purpose.

3.4 cheqd.in — Verification Services

Cheqd provides compliance and verification workflows. Verification results are based on the data and documents you provide. Theta One does not guarantee legal or regulatory compliance outcomes. You are responsible for obtaining independent legal advice where required.

4. Intellectual Property

The Services and all content, features, and functionality (including but not limited to software, text, graphics, logos, and icons) are owned by Theta One or its licensors and are protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purposes. This licence does not include the right to:

• Resell or commercially exploit any Service or its content.
• Download or copy account information for another person's benefit.
• Use data mining or similar data gathering tools on any Service.

5. User Content

Some Services allow you to submit, upload, or share content (“User Content”). You retain all ownership rights in your User Content. By submitting User Content you grant Theta One a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display that content solely as necessary to provide the Services.

You represent and warrant that you have all rights necessary to grant this licence and that your User Content does not violate these Terms or any applicable law.

6. Fees and Payment

Certain Services or features are offered on a paid basis. Where fees apply:

• All fees are stated in Indian Rupees (INR) unless otherwise specified and are exclusive of applicable taxes.
• Subscription fees are billed in advance on the applicable billing cycle.
• All payments are non-refundable except as expressly stated in a product-specific refund policy or as required by law.
• We reserve the right to change pricing with 30 days' notice. Continued use after the notice period constitutes acceptance of the new pricing.
• Failure to pay may result in suspension or termination of your access to paid features.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services you consent to the collection and use of your information as described in the Privacy Policy.

8. Third-Party Services and Links

The Services may contain links to third-party websites or integrate with third-party platforms (e.g. Google, Meta, Calendly). These links and integrations are provided for convenience only. Theta One has no control over third-party services and is not responsible for their content, privacy practices, or terms. Your use of third-party services is at your own risk and governed by their respective terms.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any information provided through the Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THETA ONE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR INR 5,000, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Theta One and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.

12. Termination

We may suspend or terminate your access to any or all Services at any time, with or without notice, if we reasonably believe you have violated these Terms or applicable law.

You may close your Theta One account at any time by contacting us at support@thetaonelab.com. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including Sections 4, 9, 10, 11, 13, and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. The courts of Kolkata, West Bengal shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at legal@thetaonelab.com. We will attempt to resolve the dispute within 30 days of receiving written notice.

14. Changes to These Terms

We may revise these Terms from time to time. We will notify you of material changes by updating the “Last updated” date above and, where appropriate, by sending an email to the address on your Theta One account. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
